Terms of Service

1. Acceptance of Terms

By creating an account or using Ringi (the "Service"), operated by thewebnex, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to the organization that registers for an account ("you," "your organization") and to any team members you invite.

2. Description of Service

Ringi provides an AI-powered inbound calling agent that answers, qualifies, and can transfer calls to a live person; a website chat widget; social media messaging tools; appointment booking with calendar sync; a knowledge base for grounding AI responses; lead capture and scoring; call recordings, transcripts, and analytics; and related dashboard, team, and integration (webhook/API key) features. Features available to you depend on your subscription plan and any usage limits described on the pricing page, and may change as the Service evolves.

3. Eligibility

You must be at least 18 years old and authorized to bind your organization to these Terms to create an account. By registering, you represent that you meet these requirements.

4. Account Registration & Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account, including actions taken by team members you invite. You must provide accurate registration information and keep it up to date, and notify us promptly of any unauthorized use of your account.

5. Subscription, Billing & Usage Limits

Ringi is currently offered as a single paid plan billed on a recurring monthly basis, invoiced directly with payment by bank transfer, as described on the pricing page; no free trial or self-service checkout is offered unless stated otherwise on that page. Fees are non-refundable except as required by law or stated otherwise. Exceeding your plan's call-minute, message, or seat limits may result in service restrictions or additional charges. We may change our fees with reasonable advance notice; continued use of the Service after a price change takes effect constitutes acceptance. You may cancel at any time; cancellation takes effect at the end of the current billing period.

6. AI-Generated Content & Limitations

The Service uses artificial intelligence (including third-party language and speech models) to generate call responses, chat replies, summaries, and lead scores. AI-generated output can be inaccurate, incomplete, or inappropriate for a given situation. You are responsible for reviewing and configuring your agent's prompts and behavior for your use case, and for not relying on AI-generated output as professional, legal, medical, or financial advice. The Service is not a substitute for human judgment in decisions with material consequences.

7. Call Recording, Consent & Compliance

This is the section most in need of real legal review. The Service can record and transcribe phone calls and chats handled by your AI agent, and callers interact with an automated system rather than a human unless transferred. Recording, consent, and AI-disclosure requirements vary by jurisdiction — some require all-party consent before a call is recorded, or a spoken disclosure that the caller is speaking with an AI system. You are solely responsible for configuring your agent to provide any legally required disclosure or consent, and for complying with applicable telemarketing, robocall, and do-not-call regulations (e.g. TCPA in the United States) in every jurisdiction you operate in. Ringi is not responsible for your compliance with these laws.

Text Messages (SMS)

Ringi, operated by WebNex Digital LLC, sends text messages for the businesses that use it (appointment confirmations and reminders, estimates, review requests, follow-ups and replies to your messages) and account alerts to business owners. Message frequency varies with your activity — for example, one confirmation and one reminder per appointment. Message and data rates may apply.

Reply STOP at any time to stop texts from that number; you'll get one message confirming it and nothing more. Reply HELP for help, or email info@thewebnex.com. Carriers are not liable for delayed or undelivered messages.

Businesses using Ringi must only text people who have agreed to hear from them, and must not use Ringi for unsolicited marketing. Ringi honours STOP replies automatically.

8. Acceptable Use

You may not use the Service to:

• Make unsolicited, unlawful, or non-consensual calls or messages, including robocalls or spam
• Harass, threaten, defraud, or impersonate any person or organization
• Transmit malware or attempt to gain unauthorized access to the Service or other accounts
• Scrape, reverse-engineer, or resell access to the Service without our written consent
• Violate any third party's intellectual property, privacy, or other rights

We may suspend or terminate accounts that violate this section.

9. Beta Features & Service Changes

We may offer features labeled beta, preview, or experimental. These are provided "as is," may change or be discontinued at any time, and may be less reliable than generally available features. We may otherwise modify, add, or remove features of the Service at our discretion, including in response to changes from our third-party providers.

10. Data & Privacy

Our collection and use of your data, and data about your callers and website visitors, is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Third-Party Services

The Service relies on third-party providers (telephony, speech processing, language models, email, and payment providers) to function. Your use of the Service is also subject to those providers' terms where applicable, and Ringi is not responsible for their availability, performance, or changes to their offerings.

12. Intellectual Property

Ringi retains all rights in the Service, its software, and branding. You retain ownership of the content you upload (knowledge base material, prompts, recordings) and grant us a license to process it solely to provide the Service to you.

13. Confidentiality

Each party agrees to protect the other's non-public information shared in connection with the Service (such as account configuration, pricing terms, and business information) with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as needed to perform under these Terms or as required by law.

14. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind. AI agent responses may be inaccurate; you are responsible for reviewing agent configuration for your use case. To the maximum extent permitted by law, Ringi's aggregate liability for any claim relating to the Service is limited to the amount you paid in the 12 months before the claim arose, and Ringi is not liable for indirect, incidental, or consequential damages, including lost profits or lost business.

15. Indemnification

You agree to indemnify and hold Ringi harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law, including claims relating to calls, messages, or data handled through your account.

16. Termination

Either party may terminate this agreement as described in your subscription plan, or immediately if the other party materially breaches these Terms. Upon termination, your access to the Service ends and data may be deleted per our data retention practices described in the Privacy Policy.

17. Force Majeure

Neither party is liable for delay or failure to perform due to causes beyond its reasonable control, including outages of our third-party providers, natural disasters, or governmental action.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice before taking effect, and the "Last updated" date above will reflect the most recent revision.

19. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

20. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ringi regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of that provision.
